The British Government has published a draft Regulation which, if implemented, will change the remuneration regime of listed companies so as to comply with the European Shareholder Rights Directive (SRDII). The entry into force is expected starting from 10 June 2019. Listed companies in the United Kingdom, such as those listed on the official list of the controlling financial authority, those regulated on the European market or Nasdaq are already subject to this regime. The new regime is therefore aimed at unlisted companies, but which carry out commercial activities in Europe, such as the companies of the High Growth Segment of the London Stock Exchange. Where they are not already in line with the new regime, they are authorized to make payments in accordance with existing practices until the new remuneration policy enters into force. It will concern any person who is not a member of the board of directors and who acts as managing director or deputy general manager. Where the remuneration policy is presented at the general meeting but is not approved, the company must present a new proposal at the next general meeting.
