The 2019-2020 European Delegation Bill for the transposition, by the 1st August 2021, of the Directive EU2019/1151 on the use of digital tools and processes in company law aims to modernize a series of processes to reduce costs and times, in particular for micro, small and medium-sized enterprises, SMEs. It consists of 29 articles which contain delegated provisions regarding the transposition of 38 European Directives as well as the adaptation of national legislation to 17 European regulations. In particular, the provisions dictate specific guiding principles and criteria for the online establishment of joint stock companies, the registration of branches and the presentation of documents and information by companies and branches (online procedures) which are not covered by Regulation EU 2018/1724 establishing the single digital gateway. The latter will be accessible from the YourEurope portal as the only point of access to information of the rules in force at national and European level at various sectors, including business, work, education health and taxation and starting from 12 December 2023 it will allow to citizens and businesses to manage a series of administrative procedures online, such as, for example, requesting proof of birth registration, registering a change of residence or submitting a corporate tax return.
